Payment Terms & Fees
All services provided by WebDev & SEO Agency are subject to the payment terms outlined below. Pricing may vary based on project scope, complexity, and duration.

Late Payments: Payments are due within 15 days of invoice date. Accounts 30 days past due may be subject to suspension of services and a late fee of 1.5% per month on the outstanding balance.
Intellectual Property Rights
Ownership of intellectual property created during our engagement is determined by the specific agreement between you and WebDev & SEO Agency. The following general principles apply unless otherwise specified in a written agreement.
Client Materials
All materials provided by you (logos, content, images) remain your exclusive property. You grant us a limited license to use these materials solely for providing the agreed services.
Our Deliverables
Upon full payment, you receive ownership of final deliverables specified in our agreement. We retain rights to portfolio display and underlying code frameworks.
Our Tools & Frameworks
Proprietary tools, methodologies, code libraries, and frameworks developed by us remain our intellectual property and are licensed for your use.
Limitation of Liability & Disclaimers
While we strive to provide high-quality services and achieve the best possible results, there are inherent limitations and uncertainties in digital marketing and web development.
Important Limitations
WebDev & SEO Agency shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of our services.
Our total liability for any claim arising from these terms or our services shall not exceed the total amount paid by you for the specific service giving rise to the claim in the six months preceding the claim.
SEO Disclaimer: Search engine algorithms change frequently, and we cannot guarantee specific rankings, traffic levels, or conversion rates. SEO results may vary based on industry, competition, and other factors beyond our control.
Termination of Services
Either party may terminate service agreements subject to the terms outlined in the specific service contract. The following general conditions apply:
Termination Scenarios
- Either party may terminate for material breach with 30 days written notice to cure
- We may suspend services immediately for non-payment or violation of terms
- Retainer agreements require 30 days written notice for termination
- Project-based engagements may be terminated with payment for work completed
Upon termination, you will pay for all services rendered up to the termination date. We will provide all completed work and assist with transition for 30 days following termination.
Governing Law & Dispute Resolution
These Terms & Conditions are governed by and construed in accordance with the laws of the jurisdiction in which WebDev & SEO Agency is registered, without regard to its conflict of law principles.
Any disputes arising from these terms or our services shall first be attempted to be resolved through good faith negotiation. If unresolved, disputes shall be settled through binding arbitration in accordance with the rules of the American Arbitration Association.
